The contest will begin at 12:01 a.m. Eastern Time (ET) on July 29, 2008 and ends on 08:30 a.m. (ET) on December 31, 2008. 2. You need to be a registered member of Sportsfananza to participate. If you are not already a registered member, please click on Registration to register for free. 3. You must be at least 13 years of age or older to participate in the contest. 4. Any video or article posted should consist solely of original content. Do not include any copyrighted material or any other materials that is not original content created by you. If you include any copyrighted material, Sponsor reserves the right to disqualify your video or article from the contest. 5. Any video or article posted needs to abide by Sponsor’s Terms of Service and Copyright Notice. 6. The video should be in the following formats: WMV, AVI, .MOV, .MPG, M4V, FLV, MP4. 7. Sponsor reserves the right to modify any points accumulated to the extent Sponsor believes the user is abusing or violating the rules of the contest, including, but not limited to, posting copyrighted material or using or posting information that is deemed to violate the terms of these rules or the Sponsor’s site rules. 8. Any comments posted on the site, including in the Tailgate section and comments to videos, should be comments related to legitimate sports related issues, topics and/or news. For example, one word comments posted by any user will not receive any points. 9. Do not submit any material that is or may deemed, in Sponsor’s sole discretion, to be (1) unlawful, pornographic, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (2) is or may deemed to be a falsehood or misrepresentation that could damage Sponsor or any third party; (3) is or may deemed to be an advertisement or solicitation of business; (4) is intended to impersonate another person; (5) is or may deemed to be harmful or deemed inappropriate to minors; (6) makes or provides instructional information about illegal activities, including but not limited to making or buying illegal weapons, illegal substances or any form of gambling or betting; (7) violates any third party's privacy; (8) copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Sponsor all of the license rights granted herein; (9) publishes falsehoods or misrepresentations that could damage Sponsor, any third party or other person. To the extent a video or other content that is posted falls within the aforementioned categories or any other category deemed inappropriate by Sponsor, you will either not receive points related to the violation action and/or be automatically disqualified from the contest. Sponsor will not liable for any such content or actions related to such contest submissions; (10) postings or activities on the site that are not relate to sports, as determined by Sponsor, in its sole discretion (e.g., posting one word comments in the tailgate will earn you no points; posting a link to your site over and over will earn you no points). 10. The winner of the contest will be announced and rewarded the prize subsequent to earning the required number of points to win pursuant to the terms set forth herein. The winner will be notified by email to the email address provided by you to Sponsor any time between the period the contest runs for, as set forth above. Should you choose to participate in the contest, there is no guarantee that you will win. Sponsor makes no representation as to your chances of winning and odds of winning will depend on a number of factors, including, but not limited to, the number of site members, how active you are on this site, how active other members are on this site. Sponsor is not responsible for any delay or failure to receive notification for any reason, including inactive e-mail account(s), technical difficulties associated therewith, or winner’s failure to adequately monitor any e-mail account. If we are unable to contact you because your email is not working or for any other reason, the contest will continue and the prize will be awarded to the person that reaches the necessary point total to win. The winner will be notified within seventy-two (72) hours after the day the contest ends. If the winner declines to receive the prize or fails to establish contact with Sponsor for the purpose of claiming his or her prize, the opportunity to claim such prize will be forfeited. Proof of identity by Sponsor may be required to claim your prize. 11. Any officers, directors, representatives, agents, employees or independent contractors of Sponsor and immediate family members (parent, spouse, sibling or child) of Sponsor are not eligible to participate or win. 12. Sponsor reserves the right to substitute a prize for an item of equal or greater value in the event all or part of a prize becomes unavailable. Any prize is awarded without warranty of any kind from Sponsor, express or implied, without limitation, except where this would be contrary to federal, state, provincial, or local laws or regulations. All federal, state, provincial and local laws and regulations apply. Submission of entry into this contest deems that participants agree to be bound by the terms of these rules and by the decisions of Sponsor, which are final and binding on all matters pertaining to this contest. Return of any prize notification may result in disqualification and selection of an alternate winner. Any potential winner who cannot be contacted within 15 days of attempted first notification will forfeit his/her prize. Failure to comply within this time period may result in disqualification and selection of an alternate winner. As a condition of entry, participants agree that Sponsor shall have the right to use, copy, modify and make available the testimonial, application or code in connection with the operation, conduct, administration, and advertising and promotion of the contest via communication to the public, including, but not limited to the right to make screenshots, animations and video clips available to the public for promotional and publicity purposes. Acceptance of the prize constitutes permission for, and winners consent to, Sponsor to use a winner's name and/or likeness and entry for advertising and promotional purposes without additional compensation, unless prohibited by law. To the extent permitted by law, entrants, agree to hold Sponsor, its parent, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless from any injury or damage caused or claimed to be caused by participation in the contest and/or use or acceptance of any prize won. A participant may be prohibited from participating in this contest if, in Sponsor’s sole discretion, it reasonably believes that the participant has attempted to undermine the legitimate operation of this contest by cheating, deception, or other unfair playing practices or annoys, abuses, threatens or harasses any other participants or Sponsor. Your participation in this contest and the use of the Sponsor website indicates your acceptance of such terms. Sponsor reserves the right to determine, in its sole discretion, any members violating any provisions set forth in these contest rules, the terms of service and/or the copyright notice. 13. To the extent permitted by law, the rights to litigate, to seek injunctive relief or to make any other recourse to judicial or any other procedure in case of disputes or claims resulting from or in connection with this contest are hereby excluded, and any participant expressly waives any and all such rights. 14. A participant in the contest certifies that their entry is original and that they are the sole and exclusive owner and right holder of the submitted entry and that they have the right to submit the video or article in the contest. Each participant agrees not to submit any video or article that (1) infringes any 3rd party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligation; or (2) otherwise violates applicable law in any countries in the world. To the maximum extent permitted by law, each participant indemnifies and agrees to keep indemnified the Sponsor its parent, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless at all times from and against any liability, claims, demands, losses, damages, costs and expenses resulting from any act, default or omission of the participant and/or a breach of any warranty set forth herein. To the maximum extent permitted by law, each participant indemnifies and agrees to keep indemnified Sponsor, its parent, subsidiaries, agents, directors, officers, employees, representatives and assigns harmless at all times from and against any liability, actions, claims, demands, losses, damages, costs and expenses for or in respect of which Sponsor will or may become liable by reason of or related or incidental to any act, default or omission by a participant under these rules including without limitation resulting from or in relation to any breach, non-observance, act or omission whether negligent or otherwise, pursuant to these official rules by a participant. 15. Any false information provided within the context of the contest by any participant concerning identity, postal address, telephone number, ownership of right or non-compliance with these rules or the like may result in the immediate elimination of the participant from the contest. Sponsor further reserves the right to disqualify any video or article that it believes in its sole and unfettered discretion infringes upon or violates the rights of any third party or otherwise does not comply with these official rules. 16. Any and all taxes associated with the prizes is the sole responsibility of each winner. Sponsor reserves the right to substitute a prize of equal or greater monetary value to the prizes if for any reason any prize cannot be awarded as contemplated in these rules. 17. SPONSOR MAKES AND GIVES NO REPRESENTATIONS, CONDITIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, REGARDING THE CONTEST OR ANY PRIZE OR ANY CONTESTANT’S PARTICIPATION IN THE CONTEST. SPONSOR SHALL NOT BE RESPONSIBLE OR LIABLE FOR, OR FOR ANY LOSS, DAMAGE, COST, OR INJURY THAT ARISES FROM, ANY OCCURRENCE, EVENT OR CONDITION OUTSIDE SPONSOR’S REASONABLE CONTROL THAT MAY AFFECT THE CONTEST OR CAUSE THE CONTEST TO BE DISRUPTED, SUSPENDED OR CORRUPTED, INCLUDING: (I) TELEPHONE, ELECTRONIC, HARDWARE OR SOFTWARE PROGRAM, NETWORK, INTERNET, OR COMPUTER MALFUNCTIONS, FAILURES, VIRUSES OR DIFFICULTIES OF ANY KIND; (II) FAILED, INCOMPLETE, GARBLED, OR DELAYED COMPUTER TRANSMISSIONS; AND (III) THE DOWNLOADING OF ANY MATERIAL IN CONNECTION WITH THIS CONTEST. SPONSOR RESERVES THE RIGHT, IN ITS SOLE DISCRETION AND WITHOUT PRIOR NOTICE, TO SUSPEND OR CANCEL THE CONTEST OR ALTER THE RULES IF AT ANY TIME A COMPUTER VIRUS, TECHNICAL PROBLEM, OR OTHER UNFORESEEABLE OCCURRENCE, EVENT OR CONDITION ALTERS OR CORRUPTS THE ADMINISTRATION OF THE CONTEST. 18. BY PARTICIPATING IN THIS CONTEST, EACH CONTESTANT RELEASES AND AGREES TO HOLD HARMLESS SPONSOR AND ITS PARENT COMPANIES, SUBSIDIARIES, AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES AND AGENTS FROM ANY LIABILITY WHATSOEVER FOR ANY CLAIMS, COSTS, LOSSES OR DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, THOSE RELATED TO PERSONAL INJURY, DEATH, DAMAGE TO PROPERTY, INFRINGEMENT OF PROPRIETARY RIGHTS, RIGHTS OF PUBLICITY OR PRIVACY OR DEFAMATION), ARISING OUT OF OR IN CONNECTION: (I) ENTERING OR PARTICIPATING IN THE CONTEST; (II) ACCEPTANCE OR USE OF ANY PRIZE; OR (III) OTHERWISE ARISING OUT OF OR RELATING TO THE CONTEST. 19. The contest and the rights and obligations of Sponsor and contestants will be governed and controlled by the laws of the State of Delaware, applicable to contracts made and performed therein without reference to the applicable choice of law provisions. All actions, proceedings, and litigation relating hereto will be instituted and prosecuted solely within the State of Delaware. The parties consent to the jurisdiction of the state courts of Delaware and federal court located within such state and county with respect to any action, dispute, or other matter pertaining to or arising out of this contest. 20. If a participant in the contest that is an eligible minor is selected as a winner, the prize may be awarded in the name of said minor’s parent or legal guardian who will be responsible for completing all necessary and applicable requirements imposed on winners in accordance with the terms of this contest. In addition, such person may be required to execute and return an affidavit of eligibility, liability release to claim any prize subsequent to the receipt of such documents in accordance with the timeframe imposed by Sponsor. 21.
