This Terms of Service agreement describes the terms and conditions under which you may use the Sportsfananza website ("Site" or “Website”) – the website for the fan’s voice. The information set forth in these terms and conditions constitute a legally binding agreement ("Agreement") between Sportsfananza, LLC (and any successors of Sportsfananza, LLC and any entities controlled by Sportsfananza, LLC, collectively "Sportsfananza"), and you, the user of the Site (hereinafter "you," and collectively with other users of the Site, "User" or "Users"). In addition, by using this Site, you also signify your assent to the terms and conditions of Sportsfananza’s Privacy Notice which is published on this Site, and which is incorporated herein by reference. Sportsfananza reserves the right to discontinue any aspect of the Website at any time. Sportsfananza also reserves the right to discontinue your use of the Website at any time in its sole discretion.
This Agreement applies to all Users who are contributors of video content, information, and other materials or services on the Site. The Website may contain links to third party websites that are not owned or controlled by Sportsfananza. Thus, Sportsfananza has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third party websites, and you should review such information of any third party websites. We also note that Sportsfananza will not and cannot make changes to and/or censor the content of any third-party site. By using the Website, you expressly relieve Sportsfananza from any and all liability arising from your use of any third-party website. Accordingly, we encourage you to be aware when you leave the Sportsfananza Website and to read the terms and conditions and privacy policy of each other website that you visit.
In addition, to the extent that you use the Site as an agent or employee of, on behalf of, or for the benefit of your employer or other entity, you represent to Sportsfananza that you have the requisite power and you are duly authorized to accept this Agreement on behalf of such person. Thus, you and all such parties will be deemed Users under this Agreement. If you do not agree to this Agreement or if you do not have the requisite power and authority to accept this Agreement on behalf of such persons or entities, you may NOT use this Site and, as such, Sportsfananza will not provide or grant you with any access to the Site. To be clear, if you do not agree to any of these terms, please do not use the Website.
Based on the foregoing, Sportsfananza hereby grants you permission to use the Website as set forth in this Terms of Service, provided that: (i) your use of the Website as permitted is solely for your personal, noncommercial use; (ii) you will not copy or distribute any part of the Website in any medium without Sportsfananza's prior written authorization; (iii) you will not alter or modify any part of the Website other than as may be reasonably necessary to use the Website for its intended purpose; (iv) you will otherwise comply with the terms and conditions of these Terms of Service and Privacy Policy; and (v) you will comply with the Sportsfananza’s rules set forth on this Site.
Licenses
Subject to the terms and conditions of this Agreement, Sportsfananza grants you a nonexclusive, nontransferable, revocable license to access the Site solely for your personal, non-commercial use. Sportsfananza materials, which include code, software, images, videos, and promotional content developed or licensed by Sportsfananza ("Sportsfananza Materials"). You may not: (i) copy, distribute, transfer, sublicense, publicly perform, publicly display, create derivative works of, sell, or offer to sell Sportsfananza Materials or any part of the Site (in any medium) without Sportsfananza 's prior written consent; (ii) disassemble, decompile, or reverse engineer any portion of Sportsfananza Materials provided in object code form into human perceivable form; or (iii) remove or alter any marks of attribution associated with Sportsfananza Materials or content available on Sportsfananza, or display Sportsfananza Materials or content available on Sportsfananza without reproducing all marks or attribution associated with Sportsfananza Materials or content available on Sportsfananza.
In addition, Sportsfananza makes available an embeddable multimedia player, which accesses information on the Site and which you may incorporate into your website or webpage. If you use Sportsfananza 's multimedia player, you must include a prominent link to Sportsfananza on each webpage on which the Sportsfananza multimedia player appears.
Restrictions
All rights not expressly granted herein are hereby reserved. Notwithstanding the foregoing, Sportsfananza grants the operators of public search engines permission to use spiders to copy materials from the site for the sole purpose of creating publicly available searchable indices of the materials, but not caches or archives of such materials.
All Sportsfananza trademarks, names, service marks, logos and other marks of attribution displayed on the Site are the property of Sportsfananza. You may not use or display Sportsfananza marks without Sportsfananza's written consent.
You may not use any portion of the Site for any unlawful purpose. You agree not to collect or harvest any personally identifiable information from the Site, including account names or email addresses, nor use the communication systems provided by the Site for any commercial solicitation purposes. You agree not to: (i) introduce computer viruses into the Site; (ii) use any automated system, including without limitation, "robots," "hitbots," "spiders," "offline readers," scripting or any other form of automatic access on the Site or querying of the Site in a manner that sends more request messages to the Site in a given period of time than a human can reasonably produce in the same period by using a convention web browser; (iii) frame, mirror, screen scrape, use hidden frames, or use any other means by which any portion of the Site is framed or appears within another frame or site (even if the frame is invisible); (iv) attempt to gain unauthorized access to the Site or any databases associated with the Site; (v) engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of the Site; or (vi) engage in any activity that circumvents, disables or otherwise interferes with security related features of the Site or features that prevent or restrict use or copying of any content or enforce limitations on use of the Site or the content therein.
Restricted Areas of the Site
Certain functions of the Site are restricted specifically to authorized Users or require you to provide personal information, and/or create a password-protected account. When creating your account, you must provide accurate and complete information. It is your responsibility to maintain the accuracy of any information provided to Sportsfananza. As such, as a User of this Site, you are solely responsible for maintaining the confidentiality of your password and your account information. To that end, you agree to notify Sportsfananza if the password is lost, stolen, disclosed to an unauthorized third party, or otherwise may have been compromised. You further agree that you are entirely responsible for all activities that occur under your account, including without limitation, any fees which may be incurred under your password-protected account, whether or not you are the individual who undertakes such activities. You agree to hold Sportsfananza harmless from and against any and all costs, damages, liabilities, and expenses (including attorneys' fees) incurred by Sportsfananza in relation to, arising from, or for the purpose of avoiding any claim or demand from a third party that your use of the Site or the use of the Site by any person using your screen name, account or password violates any applicable law or regulation, any third party rights, or incurs any fees or liabilities by virtue of having used your account.
Posting Content and User Submissions
You may submit your videos or other communications (“User Submissions”) to Sportsfananza. You understand that Sportsfananza does not guarantee any confidentiality with respect to any User Submissions whatsoever. You may also share your videos or other communications and invite other Users to view videos. Sportsfananza does not monitor your submissions. However, Sportsfananza may remove or delete without prior notice any submission that Sportsfananza finds objectionable in its sole discretion. You understand that whether or not such User Submissions are published, Sportsfananza does not guarantee any confidentiality with respect to any submissions. Sportsfananza does not endorse or promote any User Submission or any opinion, recommendation, or advice expressed therein, and Sportsfananza expressly disclaims any and all liability in connection with any type of User Submissions.
In addition, in connection with your User Submissions, you agree not to submit any type of material that: (i) is or may deemed to be unlawful, pornographic, obscene, defamatory, libelous, threatening, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law, or is otherwise inappropriate; (ii) is or may deemed to be a falsehood or misrepresentation that could damage Sportsfananza or any third party; (iii) is or may deemed to be an advertisement or solicitation of business; (iv) is intended to impersonate another person; (v) is or may deemed to be harmful or deemed inappropriate to minors; (vi) makes or provides instructional information about illegal activities, including but not limited to making or buying illegal weapons, illegal substances or any form of gambling or betting; (vii) violates any third party's privacy; (viii) copyrighted, protected by trade secret or otherwise subject to third party proprietary rights, including privacy and publicity rights, unless you are the owner of such rights or have permission from their rightful owner to post the material and to grant Sportsfananza all of the license rights granted herein; and/or (ix) publishes falsehoods or misrepresentations that could damage Sportsfananza or any third party. To the extent a video or other content is posted that falls within the aforementioned categories or any other category deemed inappropriate by a User or Sportsfananza, Sportsfananza is not liable for any such content or actions related to such User Submissions. To the extent that a User engages in any of the foregoing activities, Sportsfananza reserves the right, in its sole discretion, to remove any Content and User Submissions without prior notice. Sportsfananza will also terminate a User's access to its Website, if they are determined to be a repeat infringer.
Sportsfananza does not permit or promote copyright infringing activities and infringement of intellectual property rights on its Website, and Sportsfananza will remove all content and User Submissions if we are properly notified that such content or User Submission infringes on another's intellectual property rights. To the extent you are a copyright owner or an agent thereof and believe that any User Submission or other content infringes upon your copyrights, you may submit a notification pursuant to applicable laws and regulations and you may provide the following information to Sportsfananza:

To delete files from Sportsfananza 's index, Sportsfananza requires an accurate means by which to identify potentially infringing files. Sportsfananza does not condone, endorse or promote posting, reproduction or distribution of material by anyone other than the copyright holder or the copyright holder's authorized agents. SPORTSFANANZA RESERVES THE RIGHT TO REMOVE CONTENT IN ITS SOLE DISCRETION AND TERMINATE THE ACCOUNTS OF SPORTSFANANZA USERS WHO REPEATEDLY INFRINGE, OR APPEAR TO INFRINGE, THE INTELLECTUAL PROPERTY OR OTHER RIGHTS OF THIRD PARTIES.
You shall be solely responsible for your own User Submissions and the consequences of posting or publishing them. In connection with User Submissions, you represent, warrant and affirm that: (i) you have the requisite ownership or have the necessary licenses, rights, consents, and permissions to use and authorize Sportsfananza to use all patent, trademark, trade secret, copyright or other proprietary rights in and to any and all User Submissions to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service; and (ii) you have the requisite affirmative written consent, release, and/or permission of each and every identifiable individual person in the User Submission to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the User Submissions in the manner contemplated by the Website and these Terms of Service.
To be clear, you may retain all of your ownership rights in your User Submissions. By submitting, on your own initiative and willingness, the User Submissions to Sportsfananza, however, you hereby grant Sportsfananza a worldwide, non-exclusive, royalty-free, sublicenseable and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform the User Submissions in connection with the Sportsfananza Website and Sportsfananza's (and its successor's) business, including without limitation for promoting and redistributing part or all of the Sportsfananza Website (and derivative works thereof) in any media formats and through any media channels.
In addition, by submitting your User Submission, you hereby grant, explicitly or implicitly, each user of the Sportsfananza Website a non-exclusive license to access your User Submissions through the Website, and to reproduce, distribute, use, prepare derivative works of, display and perform such User Submissions as permitted through the functionality of the Website and under these Terms of Service. This license that you have granted may terminate once you remove or delete a User Submission from the Sportsfananza Website.
As a User of the Sportsfananza Website, you will be exposed to User Submissions from a number of sources, which may, among other things, be inaccurate, offensive, indecent, or objectionable. As such, you agree to waive, and hereby do waive, any legal or equitable rights or remedies you have or may have against Sportsfananza with respect thereto, and agree to indemnify and hold Sportsfananza, its owners, operators, affiliates, and/or licensors, harmless to the fullest extent allowed by law regarding all matters related to your use of the site.
Sportsfananza is not responsible for the accuracy, usefulness, safety, or intellectual property rights of or relating to such User Submissions.
Intellectual Property Rights
The content on the Sportsfananza website are owned by or licensed to Sportsfananza, subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. For purposes of this Agreement, content shall mean, without limitation, the text, software, scripts, graphics photos, sounds, music, videos, interactive features and the like and the trademarks, service marks and logos contained therein.
Content on the Website is provided to you “as is” for your information and personal use only and may not be used, reproduced, distributed, copied, broadcast, transmitted, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Sportsfananza reserves all rights not expressly granted in and to the Website and the Content. As a User, you agree to not engage in the use, copying, or distribution or other inappropriate use of any of the Content other than expressly authorized or permitted in this agreement, including any use, copying, or distribution of User Submissions of third parties obtained through the Website for any commercial purposes.
If you download or print a copy of the Content for your personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security related features of the Sportsfananza Website or features that prevent or restrict use or copying of any Content or enforce limitations on use of the Sportsfananza Website or the Content therein.
Users may place or otherwise associate tags or comments with User Submissions. Such tags or comments may misrepresent your User Submissions, may rate your User Submissions, or may be otherwise disparaging, defamatory, embarrassing, or unfavorable. Sportsfananza does not review, control or monitor tags or comments placed by users and hereby disclaims any liability for the same.
Placement and Distribution of Content
You agree that Sportsfananza shall have the right to include or otherwise associate advertising, promotional, and other content with your User Submission. You hereby waive and agree never to assert against Sportsfananza any moral rights that you may have in your User Submission during and after the term of this Agreement.
Indemnification
You will defend, indemnify and hold harmless Sportsfananza, its directors, officers, employees, subsidiaries and affiliates ("Sportsfananza Affiliates") from and against all claims, liabilities, allegations, suits, actions, investigations, judgments, deficiencies, settlements, inquiries, demands, or other proceedings ("Claims") made or brought by any third party against any Sportsfananza Affiliate, including without limitation reasonable legal fees and expenses, in connection with (i) your breach of this Agreement, or (ii) any Claim associated with your User Submission. Sportsfananza shall provide you with prompt notice of any Claim and an opportunity to defend the Claim, provided that Sportsfananza (A) may participate at your expense in any defense and settlement discussions; and (B) will have the right to approve any settlement agreement purporting to bind Sportsfananza. In addition, Sportsfananza may, at your expense, take full control of the defense of any Claim if Sportsfananza believes that you have not defended such Claim in a reasonable and diligent manner, and that such failure may result in adverse consequences for Sportsfananza.
Sportsfananza Materials and Derivative Works
Sportsfananza will own any Sportsfananza materials and any trademarks, service marks and logos contained on the Website. Subject to your ownership of User Submissions, Sportsfananza will own any derivative works or improvements created under the Agreement.
Privacy Policy
Your use of the Site is governed by Sportsfananza 's Privacy Policy, which is incorporated into this Agreement by reference.
Term and Termination
This Agreement will commence upon your access to the Site and will continue until terminated by either party. Either party may immediately terminate this Agreement for any reason, provided that Sportsfananza is likely not to terminate your access to the Site unless you breach this Agreement or otherwise deemed necessary by Sportsfananza. Sportsfananza will terminate your access to the Site and this Agreement if you repeatedly violate the Agreement. Sportsfananza reserves the right to terminate the account of any Sportsfananza subscriber who initiates litigation against Sportsfananza. Sportsfananza is not obligated to provide notice of termination to you. The election to terminate this Agreement shall not be deemed an election of remedies, and all other remedies provided by this Agreement, or available at law or in equity shall survive termination. Certain of the provisions of this Agreement will survive termination of this Agreement.
Third Party Interaction
In your use of the Site you may enter into correspondence with, purchase goods and/or services from, or participate in promotions of third parties that advertise on this Site. Unless otherwise stated in writing by Sportsfananza, any such correspondence, purchase or promotion, including the delivery of and the payment for goods and/or services, and any other term, condition, warranty or representation associated with such correspondence, purchase or promotion is solely between you and the applicable third party. You agree that Sportsfananza has no liability, obligation or responsibility for any such correspondence, purchase or promotion between you and any such third party. Sportsfananza does not endorse, support, represent or guarantee the truthfulness, accuracy, or reliability of third party content, or any associated information. You acknowledge that any use, access to, or reliance on third party content or websites is at your own risk.
Disclaimer of Warranty
YOU AGREE THAT YOUR USE OF THE SPORTSFANANZA WEBSITE SHALL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, SPORTSFANANZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE WEBSITE AND YOUR USE THEREOF. YOU SPECIFICALLY ACKNOWLEDGE THAT SPORTSFANANZA SHALL NOT BE LIABLE FOR USER SUBMISSIONS OR THE DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT OF ANY THIRD PARTY AND THAT THE RISK OF HARM OR DAMAGE FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
THE LIMITATIONS HEREIN WILL APPLY EVEN IF ANY LIMITATION ON LIABILITY PROVIDED UNDER THIS AGREEMENT FAILS OF ITS ESSENTIAL PURPOSE. CERTAIN JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN LIABILITIES, SO SOME OF THE EXCLUSIONS SET FORTH ABOVE MAY NOT APPLY TO YOU. IF SPORTSFANANZA CANNOT DISCLAIM A LIABILITY, THE DURATION AND SCOPE OF SUCH LIABILITY SHALL BE THE MINIMUM PERMISSIBLE UNDER APPLICABLE LAW.
Assignment
You may not assign this Agreement, in whole or in part, or your rights or obligations under this agreement, without Sportsfananza 's prior written consent. Any attempt by you to assign this Agreement other than as permitted above will be null and void. Subject to the foregoing, this Agreement shall be binding upon and shall inure to the benefit of the parties, their successors and permitted assigns. Sportsfananza may assign these terms of service without restriction.
Governing Law
Any action related to this Agreement will be governed by Virginia law and controlling U.S. federal law, without regard to the choice or conflicts of law provisions of any jurisdiction. You agree to submit to the jurisdiction of the courts located in Fairfax, Virginia for the resolution of all disputes arising from or related to this Agreement and/or your use of Sportsfananza Sites.
Severability
If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, then such provision(s) shall be construed, as nearly as possible, to reflect the intentions of the parties, with all other provisions remaining in full force and effect.
Email Promotions
You hereby consent to receive notification from Sportsfananza of promotions and other notices to the email address that you provide to Sportsfananza.
Cooperation
You acknowledge that Sportsfananza will report to law enforcement authorities any actions that may be considered illegal. When requested, Sportsfananza will cooperate fully with law enforcement agencies in any investigation of alleged illegal activity on the Internet.
Miscellaneous
A failure to enforce any provision of this Agreement will not be interpreted as a waiver of that breach or any preceding or succeeding breach of the same or similar nature. The headings of the clauses of this Agreement are solely for the purpose of convenience and will not be used in the interpretation of any provision. The substantially prevailing party in any dispute relating to this Agreement will be entitled to recover associated costs, including the reasonable fees of attorneys and other professionals. This Agreement, including any commissions and terms referenced herein, contain the entire understanding of the parties. This Agreement is made for the benefit of the parties and not for the benefit of any third parties. This Agreement will be interpreted in accordance with its terms and without any strict construction in favor of or against either party.
You affirm that you are either more than 18 years of age, or an emancipated minor, or possess legal parental or guardian consent, and are fully able and competent to enter into the terms, conditions, obligations, affirmations, representations, and warranties set forth in these Terms of Service, and to abide by and comply with these Terms of Service.
